CONSTITUTION
 
 
Preamble
We, the members of the Morehead State University Alumni Association, in our efforts to protect, support and generally promote the interests of Morehead State University do ordain and establish this constitution.
 
Purpose 
The Morehead State University Alumni Association, Inc., shall be operated exclusively for educational and charitable purposes. In furtherance thereof, the Association shall:
(1). Promote and support the welfare and mutual interests of Morehead State University and the alumni of the University.
(2). Maintain records and statistics of Morehead State University Alumni, both graduates and non-graduates.
(3). Engage alumni by making arrangements and planning special events for the benefit and enjoyment of Morehead State University Alumni.
(4). Assist the MSU Foundation, Inc., with increasing the amount of private giving to Morehead State University for educational and programmatic purposes.
 
Article I – Name 
The name of this association shall be the Morehead State University Alumni Association, Inc., and henceforth termed Alumni Association or Association. Unless otherwise stated, the term President shall refer to the President of the Association. Unless the content requires otherwise, a word importing singular number only, may extend to several persons or things, as well as to one person or thing. Likewise, a word importing the masculine gender only, may extend and be applied to female as well as males.
 
Article II – Membership 
Section A.  General Membership. The membership of the Alumni Association shall consist of all people, graduates, and others who are actively involved in the support of Morehead State University and the Morehead State University Alumni Association, Inc. The regulations of the Alumni Association in relation to membership shall be developed and evaluated periodically by the Board of Directors of this Association.
 
 (1)  Active Membership. All persons who have graduated (received a two or four year degree, a professional certification, or a graduate degree) from Morehead Normal School, Morehead State Normal School and Teacher’s College, Morehead State College and Morehead State University, are eligible for membership upon making an annual financial contribution to the MSU Foundation, Inc., as defined in the bylaws. Individuals graduating for the first time from MSU shall be granted a complimentary membership for the following twelve (12) months.
(2) Associate Membership. Present and former members of the University staff, faculty, former students who did not graduate, friends of the University, parents of students, and members of the Board of Regents who are not active members, are eligible for associate memberships upon making a financial contribution to the MSU Foundation, Inc., as defined in the bylaws.
(3) Honorary Life Membership. May be given by a two-thirds vote of the Board of Directors to those persons who have rendered valuable or conspicuous service to the University or the Association.
 
Section B. By- laws. The by-laws of the Association may provide for other classes of membership in the Association.
 
Section C. Voting. The privilege of voting is limited to active members of Morehead State University Alumni Association, Inc., and a maximum of two current students of Morehead State University.
 
Section D. Holding Office. The privilege of holding office is limited to active members of the Morehead State University Alumni Association.
 
Article III – Officers 
The elected officers of this Association shall be President and President-elect. The appointed officers by virtue of their staff positions are Executive Vice President (MSU’s chief alumni officer) and Secretary (MSU’s appointed support staff). The President and President-elect shall be elected from the membership of the Board of Directors and shall serve terms of only (2) years. The President-elect shall serve in that role for two years and then serve as president for two years.  The immediate past president may serve on the Board of Directors for one year following his/her term.
 
Article IV 
The affairs and business of the Association shall be conducted by a Board of Directors. The Board of Directors shall consists of no more than twenty-five (25) individuals who are voting members of the Alumni Association.  The election, appointment, term of office, and duties of the Board of Directors shall be provided for in the by-laws of the Alumni Association.
 
Article V – Executive Committee 
The routine business of the Association between meetings of the Board of Directors shall be conducted by the Executive Committee of the Board.  The Executive Committee shall be made up of the President, President-elect, Executive Vice President, and Secretary.
 
Article VI – Alumni Chapters (Clubs) 
All alumni chapters and/or clubs must consist of people who are members of the Morehead State University Alumni Association.
 
Article VII – Amendments 
The constitution may be amended by the Board of Directors by a two- thirds vote of the quorum present.  The membership will be informed of the amendment through Association publications.
